Outsourcing Provider Due Diligence Checklist for Accountants

What to check before appointing an outsourcing or offshore provider.

Built by a practising Chartered Accountant · Unlimited users · 60-day free trial · Last updated 24 September 2026

Quick answer

General guidance, not legal advice. Take advice on your contracts and data transfers. This checklist helps you assess a prospective outsourcing or offshore provider before signing an agreement, covering security, data protection, quality controls and business continuity. Take legal and, where relevant, technical advice before finalising the arrangement.

Why carry out due diligence before appointing a provider?

Your firm remains accountable for client data and the quality of client work even where a third party performs the tasks. Checking a provider's security, data handling and quality controls before signing helps avoid problems that are much harder to fix afterwards.

This checklist should be completed before the outsourcing agreement and data processing agreement are signed, not after.

What areas should due diligence cover?

Cover data security, staff vetting, quality control processes, location of processing and sub-processors, and the provider's financial and operational stability.

Key due diligence areas

  • Where data will actually be processed and stored
  • Security measures such as access controls and encryption
  • Staff vetting and confidentiality practices

Turn this into a task and subtask template in Remindoo

Save each group as a task with subtasks, attach it to the right service and let recurring tasks create it for every client, every period. Each item gets an owner and a deadline, and nothing depends on someone remembering to print the list. See task and subtask templates.

What are the common mistakes?

  • Signing an agreement before checking where data is actually processed
  • Not asking about sub-processors
  • Skipping reference checks with existing clients of the provider
  • Overlooking exit and continuity planning until something goes wrong

Frequently asked questions

How long does due diligence usually take?

This varies by firm and provider size; allow enough time to properly review responses rather than rushing to sign.

What if the provider won't answer security questions in detail?

Treat this as a red flag; a provider handling client data should be able to explain its security measures clearly.

Do we need to check sub-processors too?

Yes, ask the provider to disclose any sub-processors, as this affects where your clients' data actually ends up.

Is a due diligence checklist a legal requirement?

General guidance, not legal advice. Take advice on your contracts and data transfers. There isn't a single fixed legal checklist, but demonstrating reasonable due diligence supports your data protection accountability obligations.

Should this be repeated periodically?

Yes, review existing providers periodically, not just at initial appointment.

Does Remindoo vet outsourcing providers for me?

No, Remindoo does not assess or recommend third-party outsourcing providers; this checklist is a tool for your own due diligence process.

Why recording every task matters in an accountancy practice

Accounting firms run on deadlines: VAT returns, payroll, confirmation statements, accounts and Self Assessment. Recording every job as a task, with an owner and a date, is the simplest way to make sure nothing is missed.

Avoid penalties

HMRC and Companies House charge penalties for late filing. A task for every deadline, with an internal date before it, gives the team a buffer.

Nothing depends on memory

Recorded tasks mean work continues when someone is off sick, on leave or has left the firm.

Consistent quality

Subtask checklists make every job follow the same steps and reviews, whoever does the work.

Visibility for managers

Filters by owner, status and deadline show at a glance what is late, what is due and who needs help.

Practical tips from UK practice

  • Set an internal deadline two to four weeks before every statutory deadline.
  • Use recurring tasks for repeat work such as VAT, payroll and bookkeeping.
  • Break larger jobs into subtasks, including a review step.
  • Comment on the task instead of by email, so the history stays with the work.
