Protect client confidentiality before any information is shared with a provider.

Built by a practising Chartered Accountant · Unlimited users · 60-day free trial · Last updated 24 September 2026

Quick answer

General guidance, not legal advice. Take advice on your contracts and data transfers. This non-disclosure agreement template is a starting point for confirming confidentiality before you share client information with an outsourcing or offshore provider during evaluation or onboarding. Have it reviewed and adapted by a solicitor before use.

Who is this sent to, and when?

Sent to
Prospective outsourcing/offshore provider
When to send it
Before sharing any client or firm data during evaluation

Why sign an NDA before sharing any client information?

Even preliminary discussions with a prospective outsourcing provider may involve sharing sample data, workflows or client details. An NDA sets clear expectations about confidentiality before any information changes hands, which supports your professional duty of confidentiality to clients.

This is separate from the full outsourcing agreement, which covers the ongoing relationship once a provider is selected.

When should this be used?

Use it during due diligence, before sending sample files, anonymised data or test tasks to a prospective provider, and before any staff at the provider are given system access.

Typical triggers

  • Sending sample or test data for evaluation
  • Discussing your firm's client base or systems in detail
  • Before granting any trial access to internal tools

Send this from Remindoo

Save it once in Remindoo and send it from there. Store the wording as an email template, then use tokens so client names, company numbers and dates fill in automatically. Send it to one client or to a filtered group with bulk client emails. For requests that repeat, pair it with automated reminders and a recurring task so it goes out every period without anyone remembering. For engagement letters and proposals, use proposals and letters of engagement with e-signatures.

What are the common mistakes?

  • Sharing sample client data before an NDA is signed
  • Using real, identifiable client data for provider evaluation instead of anonymised samples
  • Not specifying how long confidentiality obligations survive after the relationship ends
“Automation saves time and no follow-up is missed.”

Frequently asked questions

Do I need an NDA if I'm only having exploratory conversations?

If any client-identifiable or firm-confidential detail is discussed, it's safer to have an NDA in place first.

Is this different from the full outsourcing agreement?

Yes, this covers the evaluation stage; the outsourcing agreement and data processing agreement cover the ongoing working relationship.

Can I anonymise data instead of using an NDA?

Anonymising sample data reduces risk, but an NDA is still good practice for any commercially sensitive information you share.

Should this cover international transfers?

Yes, flag this explicitly and take advice on whether an IDTA or UK Addendum is needed even for evaluation-stage sharing.

Does Remindoo send or store NDAs for me?

Remindoo does not provide legal document signing for third-party contracts; you can log the date an NDA was signed as a note against the relevant record.

How long should confidentiality obligations last?

This varies by firm policy and the sensitivity of the information; take advice on an appropriate survival period.

Why recording every task matters in an accountancy practice

Accounting firms run on deadlines: VAT returns, payroll, confirmation statements, accounts and Self Assessment. Recording every job as a task, with an owner and a date, is the simplest way to make sure nothing is missed.

Avoid penalties

HMRC and Companies House charge penalties for late filing. A task for every deadline, with an internal date before it, gives the team a buffer.

Nothing depends on memory

Recorded tasks mean work continues when someone is off sick, on leave or has left the firm.

Consistent quality

Subtask checklists make every job follow the same steps and reviews, whoever does the work.

Visibility for managers

Filters by owner, status and deadline show at a glance what is late, what is due and who needs help.

Practical tips from UK practice

  • Set an internal deadline two to four weeks before every statutory deadline.
  • Use recurring tasks for repeat work such as VAT, payroll and bookkeeping.
  • Break larger jobs into subtasks, including a review step.
  • Comment on the task instead of by email, so the history stays with the work.
